1. Introduction

These Terms & Conditions (“Terms”) govern the use of services provided by BOBI Digital Nigeria Ltd (“we”, “us”, “our”), including digital‑infrastructure consultancy, broadband optimisation, workflow automation, AI prompt‑kit development, and smart‑home technology support. By engaging our services or using our website, you agree to these Terms.

2. Service Scope

We provide professional services including:

Broadband optimisation, router installation, Wi‑Fi redesign, hybrid connect setup
Smart‑home technology installation (CCTV, smart lighting, Tado, Alexa, Google Home, smart locks)
Digital transformation consultancy, workflow automation, AI prompt kits
Power BI dashboards and organisational efficiency solutions
EEDI consultancy and cultural‑improvement advisory

Service descriptions form part of the contractual agreement and must be clear and properly incorporated to be enforceable across jurisdictions .

3. Contract Formation

A contract is formed when:

You accept a quotation or proposal; or
You book a service; or
You use our consultancy services.

All contracts must meet UK validity requirements including offer, acceptance, consideration, intention, and certainty of terms .

4. Payment Terms

Payment terms will be stated in your proposal or invoice.
Services may require upfront payment or staged payments.
Late payments may incur administrative charges.
Prices may be listed in GBP or NGN depending on service location.

5. Customer Responsibilities

You agree to:

Provide accurate information required for service delivery.
Ensure safe access to premises for installations.
Maintain any equipment installed according to our guidance.

6. Non‑Excludable Consumer Rights (UK)

Under the UK Consumer Rights Act 2015, we cannot exclude liability for:

Services not performed with reasonable care and skill
Services not delivered as described
Digital content that is defective or not fit for purpose These obligations are mandatory and cannot be contracted out of .

7. Liability

We are not liable for:

Losses arising from misuse of installed equipment
Third‑party service outages (e.g., BT, SKY, EE, TalkTalk, Zen, Utility Warehouse)
Indirect or consequential losses However, we remain liable for mandatory consumer protections under UK law and statutory obligations under Nigerian NDPA/NDPR.

8. Intellectual Property

All AI prompt kits, dashboards, workflows, documentation, and digital tools created by us remain our intellectual property unless explicitly transferred in writing. Clients receive a licence to use deliverables for internal business purposes.

9. Data Protection & Privacy

We comply with:

UK GDPR (ICO guidance)
Nigeria NDPR & NDPA (NDPC requirements)

10. Confidentiality

Both parties agree to keep confidential all non‑public information shared during service delivery, including business processes, technical configurations, and organisational data.

11. Service Delivery & Access

We may require access to premises, systems, or digital platforms to deliver services. You must ensure safe working conditions and appropriate permissions.

12. Termination

Either party may terminate the contract:

With written notice;
If the other party breaches the Terms;
If payment is not made within agreed timelines.

Upon termination, all outstanding fees become immediately payable.

13. Governing Law & Jurisdiction

For UK‑based services: English law applies, and disputes fall under the jurisdiction of UK courts.
For Nigeria‑based services: Nigerian law applies, and disputes fall under the jurisdiction of Nigerian courts.

Cross‑border contracts must clearly specify governing law and jurisdiction to ensure enforceability internationally .

14. Dispute Resolution

Before formal legal action, both parties agree to attempt resolution through negotiation or mediation. Arbitration may be used if mutually agreed.

15. Changes to Terms

We may update these Terms to reflect legal, regulatory, or operational changes. The latest version will always be available on our website.
